Terms of Service

These Terms of Service ("Terms") govern your use of the Sebenza workforce management platform ("Platform") operated by Sebenza Limited ("Sebenza", "we", "us"), a company registered in New Zealand. By accessing or using the Platform, you agree to be bound by these Terms.
1. Definitions
- "Platform" — the Sebenza web application, mobile applications, and related services
- "User" — any individual who creates an account on the Platform, including workers, hiring managers, organisation administrators, and platform administrators
- "Organisation" — a business entity registered on the Platform
- "Worker" — an individual who uses the Platform to find work, track time, or manage their employment documents
- "Content" — any data, text, images, or other material uploaded to or generated by the Platform
2. Account Registration
- You must be at least 16 years old to create an account
- You must provide accurate and complete registration information
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorised use of your account
- One person may hold only one active user account
3. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of NZ employment law
- Submit false identity documents, visa information, or employment records
- Attempt to circumvent security measures, GPS verification, or access controls
- Share your account credentials with any other person
- Use the Platform to harass, threaten, or discriminate against any user
- Reverse engineer, decompile, or attempt to extract the source code of the Platform
- Use automated tools to scrape, crawl, or extract data from the Platform
4. Organisation Responsibilities
If you register as an Organisation on the Platform, you agree to:
- Comply with all applicable New Zealand employment legislation, including the Employment Relations Act 2000, Holidays Act 2003, and Minimum Wage Act 1983
- Maintain accurate worker records and comply with record-keeping obligations
- Ensure that all workers engaged through the Platform have valid work rights in New Zealand
- Not use the Platform to engage workers below the minimum wage or in breach of employment standards
- Maintain appropriate employer liability insurance
5. Worker Responsibilities
If you register as a Worker on the Platform, you agree to:
- Provide accurate personal information, identity documents, and visa details
- Submit honest and accurate timesheets and work records
- Enable GPS location services when required for timesheet verification
- Keep your visa and certification information up to date
- Comply with workplace health and safety requirements
6. Payments and Fees
- Sebenza may charge service fees for use of the Platform, as outlined in your subscription agreement
- Payment processing is handled by Stripe; your use of payment features is also subject to Stripe's Terms of Service
- Sebenza is not responsible for payroll obligations between organisations and workers — the Platform facilitates record-keeping but does not replace employer responsibilities
- All fees are quoted in New Zealand Dollars (NZD) unless otherwise specified and are exclusive of GST
7. Intellectual Property
- The Platform, including all software, design, and documentation, is owned by Sebenza Limited
- You retain ownership of Content you upload to the Platform
- By uploading Content, you grant Sebenza a non-exclusive licence to use, process, and display that Content as necessary to provide the Platform services
- You must not use the Sebenza name, logo, or branding without prior written consent
8. Data and Privacy
Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy.
9. Integrations and Third-Party Services
The Platform integrates with third-party services including Xero, Stripe, vSure, and IRD Gateway. Your use of these integrations is subject to the respective third-party terms. Sebenza is not liable for the availability or accuracy of third-party services.
10. Limitation of Liability
- The Platform is provided "as is" without warranties of any kind, express or implied
- Sebenza is not liable for any indirect, incidental, or consequential damages arising from your use of the Platform
- Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim
- Sebenza does not guarantee uninterrupted or error-free service
11. Suspension and Termination
- We may suspend or terminate your account if you breach these Terms
- You may close your account at any time by contacting us
- Upon termination, your right to use the Platform ceases immediately
- Data retention after account closure is governed by our Privacy Policy
12. Dispute Resolution
- These Terms are governed by the laws of New Zealand
- Any disputes shall first be attempted to be resolved through good-faith negotiation
- If negotiation fails, disputes shall be submitted to mediation in New Zealand
- The courts of New Zealand shall have exclusive jurisdiction
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email or in-app notification at least 30 days before they take effect. Continued use of the Platform after changes constitutes acceptance.
